Terms of Service

By accessing or using ShelfLife, the Blue Harbor Labs website, or any related services provided by Blue Harbor Labs (“Services”), you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use the Services.

Blue Harbor Labs provides software products and related services, including ShelfLife, an inventory and expiration-date management platform designed to assist organizations in tracking products, inventory, and operational workflows.

Services may be modified, updated, suspended, or discontinued at any time.

Users may be required to create an account to access certain Services.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Providing accurate and current information.

You agree to notify Blue Harbor Labs immediately of any unauthorized access to your account.

You agree not to:

• Use the Services for unlawful purposes.
• Attempt to gain unauthorized access to systems or data.
• Interfere with the operation or security of the Services.
• Reverse engineer, copy, modify, or attempt to recreate the Services.
• Upload malicious software, malware, or harmful content.

Blue Harbor Labs reserves the right to suspend or terminate access for violations of these Terms.

Customers retain ownership of data they submit to the Services.

You grant Blue Harbor Labs permission to store, process, transmit, and display such data solely for the purpose of providing and improving the Services.

You are responsible for ensuring that data entered into the Services complies with applicable laws and regulations.

The Services, software, designs, trademarks, branding, content, and related materials are the property of Blue Harbor Labs and are protected by applicable intellectual property laws.

No ownership rights are transferred to users through use of the Services.

Except as expressly permitted, users may not copy, distribute, modify, sell, lease, sublicense, or create derivative works from the Services.

Certain features may be designated as pilot, beta, preview, or testing features.

Such features may contain errors, experience interruptions, or be modified without notice.

Pilot and beta features are provided on an “as-is” basis.

Blue Harbor Labs will make reasonable efforts to maintain service availability but does not guarantee uninterrupted or error-free operation.

Maintenance, upgrades, outages, and third-party service disruptions may affect availability.

The Services are provided “AS IS” and “AS AVAILABLE.”

Blue Harbor Labs disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

To the maximum extent permitted by law, Blue Harbor Labs shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

Blue Harbor Labs’ total liability arising from or related to the Services shall not exceed the amount paid by the Customer to Blue Harbor Labs during the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Blue Harbor Labs, its officers, employees, contractors, and affiliates from claims, damages, liabilities, costs, and expenses arising from your use of the Services or violation of these Terms.

Blue Harbor Labs may suspend or terminate access to the Services at any time for violations of these Terms or to protect the security and integrity of the Services.

Users may stop using the Services at any time.

Blue Harbor Labs may update these Terms from time to time.

Continued use of the Services following publication of updated Terms constitutes acceptance of the revised Terms.

These Terms shall be governed by and interpreted under the laws of the State of New York, without regard to conflict-of-law principles.
